This course will explore and expand your understanding of the fundamental principles of contract formation, performance, and enforcement that you learned in your first year of law school, primarily as these principles relate to the sale of goods. The course will focus on Article 2 of the Uniform Commercial Code but will touch on the law of promissory notes and security instruments, as well, as these topics often arise in sales contexts and facilitate an understanding of how contracts differ from other types of obligations. We will also regularly contrast rules for the sale of goods with rules for land sale and service contracts, as this method of presentation will prepare you for success on the bar exam and in the practice of law. Not open to students who have taken Commercial Law Survey.
