Welcome to Albany Law School’s Non-Profit Formation Tool. With this tool, attorneys can easily create the documents they will need to form a not-for-profit, non-membership-based organization under New York law: the Certificate of Incorporation and By-Laws. By following the prompts of the guided interviews, and submitting the information and answers to those prompts, these interviews will ultimately generate editable documents that can be filed with the New York Secretary of State. They are not designed for use by non-lawyers and they are not designed to follow any other state’s laws than New York’s. They are also not designed for complex entities or for membership-based organizations.
These interviews are only made available for the exclusive use of attorneys admitted to practice in New York State for the sole purpose of providing free legal assistance to individuals who seek to form non-membership-based, not-for-profit corporations under New York Law.
Be sure to fully read and review the terms of service, as well as any and all instructions, notices, and descriptions contained throughout each interview. At each step of the interview, users will be required to input information about the not-for-profit corporation that they are forming and the individuals involved in the corporation. Once users answer all of the questions included in each section of these interviews, the answers provided will be inserted into a complete, populated document. Therefore, the completion of both of these interviews will compile a Certificate of Incorporation and By-Laws for a not-for-profit corporation under New York Law. Be sure to read through the populated document carefully and follow any instructions included for filing or submitting the completed document.

These interviews were created for the exclusive use of attorneys admitted to practice in New York State for the sole purpose of providing free legal assistance to individuals who seek to form non-membership based not-for-profit corporations under New York Law. Only licensed attorneys admitted to practice in New York State should use these interviews to assist their clients in completing and filing the documents necessary to establish New York State not-for-profit corporations. A non-attorney should not attempt to complete these interviews on his or her own without the assistance of a trained legal professional.
- What is the intended purpose of these Guided Interviews?
These guided interviews will assist you in preparing a standard Certificate of Incorporation and By-Laws for a non-membership-based not-for-profit under New York Law only. The completed Certificate of Incorporation that is populated at the end of the interview using the information that has been provided by the user cannot be filed in any state other than New York.
- How can I receive additional information or clarification regarding different steps of the interview?
Throughout these interviews, there are pop-up “Learn More” windows that the user can access, which contain more detailed descriptions of the information that needs to be provided for that section of the interview. Links to external websites with additional information or relevant laws are also embedded throughout both interviews for the user to reference in the case that he or she needs some further clarification or information to enter a complete and accurate response. It is important to review these in detail for guidance and clarification before inputting information that will be used to produce the final populated documents.

When Authors or End Users of these Guided Interviews, “You”, use the website to which you will be directed (referred to hereinafter as the Guided Interviews), you agree to all of the terms listed below. You agree to direct your clients that they may not share the Guided Interviews with any third person not authorized by you to access the Guided Interviews and you agree to be responsible for any such unauthorized third-party use should any occur.
By using these Guided Interviews, you agree:
- You will not detrimentally rely on any information received from these Guided Interviews,
- You do not have the right to make a claim that you were harmed because you or your clients used these Guided Interviews,
- That use of these Guided Interviews does not create any attorney-client relationship or any other fiduciary relationship between you and your clients and Albany Law School,
- To use these Guided Interviews in accordance with the laws of the jurisdiction where you are located.
You or anyone you authorize to use these Guided Interviews may not do so as part of a for-profit service and may not charge for its use in any way.

Venue for any dispute in any way related to this Agreement or to the Agreement provided hereunder shall be in the Supreme Court for the State of New York, Albany County, or the Federal District Court for the Northern District of New York, as appropriate, and you hereby consent to the personal jurisdiction of such courts with respect to such matters.
This Agreement may be modified in the future by Albany Law School at its sole discretion. We may amend this Agreement by posting amended terms on this site; such amended terms will become effective 60 days after they are posted. Your continued use of the Guided Interviews constitutes your acceptance of any modifications to this Agreement.
Continuing to use the Guided Interviews will constitute acceptance of this Agreement.
